Chris has been practicing law since 1995 with a focus on taxation, corporate, and business transactions.

He regularly represents:

  • Principals and other participants in federal, state, and local taxation, including tax controversy (representation of clients before the applicable taxing authorities). Such representation includes advising partnerships, limited liability companies and corporations with respect to the tax implications of business structures, transactions, mergers and acquisitions, like-kind exchanges, and business transition planning.  He regularly represents clients in IRS and state tax controversy including audits, appeals, and U.S. Tax Court.
  • Clients requiring advice with respect to general corporate and commercial matters, including the selection and formation of legal entities, such as corporations, limited liability companies, partnerships, and joint ventures, and the creation and negotiation of the governing documents that govern such entities (including the tax aspects of such matters), such as the by-laws, operating agreements, partnership agreements, joint venture agreements, and other related agreements, including shareholder agreements, buy-sell agreements, consulting agreements, distribution agreements, equipment leases, franchise agreements, and license agreements, and executive compensation arrangements.
  • Businesses in all aspects of commercial transactions, including negotiation of agreements and development of standard terms and conditions for the sale of goods and services, contract management, and dispute resolution, including product distribution and licensing, software licensing, marketing alliances, and product development agreements.

Chris works extensively with clients in the manufacturing, distribution, energy, real estate, telecom, and technology industries.  This experience allows him to tailor his legal and tax practice in a way to maximize the benefit to the client and creatively and effectively integrate his legal service with the business goals of the client.

REPRESENTATIVE EXPERIENCE

  • Extensive experience with closely held businesses and pass-through entities, including family transition planning for entities valued in excess of $500,000,000 which included real estate, oil and gas, and securities. Coordinated with estate planning specialists to insure smooth transition between parents and adverse adult children.
  • Representation of clients in Code Section 1031 like-kind exchanges in the oil and gas and real estate industries with sales between $500,000 and $75,000,000. Structured a $17,000,000 reverse exchange with construction aspects during the term of the exchange.
  • Structured an international acquisition of a multinational engineering firm for $5,000,000 and negotiated the terms of the agreement, tax structure, and shareholder compensation.
  • Representation of clients in tax controversy matters including audit, appeals, and Federal Tax Court. Obtained a $5,700,000 refund in an international tax audit and appeal relating to US inbound transactions in the telecom industry.  Negotiated transfer pricing settlement and parameters for ongoing studies.
  • Negotiated a cross-border joint venture for a US LLC in the telecom business with multinational distributors and provider rights with Telmex (Telofonos de Mexico, S.A.B. de C.V).
